Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Zentric, a customer relationship management product (the “Service”) provided by Morningstar Group (“Morningstar Group”, “we”, “us” or “our”). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. The contract for the Service is between you and Morningstar Group.
1. Who may use the Service
You must be at least 18 years old to use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and “you” refers to that organisation.
2. Account and credentials
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information when registering and to keep that information up to date. Notify us promptly of any unauthorised use of your account.
3. Acceptable use
You will not, and will not allow any third party to:
- Use the Service for any unlawful, fraudulent, or deceptive purpose;
- Send spam, unsolicited messages, malware, or harmful code through the Service;
- Infringe the intellectual-property, privacy, or other rights of any person;
- Probe, scan, scrape, reverse-engineer, or interfere with the security or integrity of the Service, or attempt to gain unauthorised access to any part of it;
- Resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted;
- Circumvent any technical limit, quota, or access control imposed by the Service.
4. The Service
Zentric is a CRM platform that helps teams manage contacts, deals, tasks, and related sales activities. Specific capabilities depend on the package you have contracted for. We may improve, add, or change features over time. We do not guarantee that the Service will be uninterrupted, error-free, or available at any particular time, and we exclude all implied warranties (including merchantability and fitness for a particular purpose) to the fullest extent permitted by law.
5. Licence and intellectual property
Subject to these Terms and your payment of applicable fees, Morningstar Group grants you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes. All right, title, and interest in and to the Service, including software, documentation, branding, and improvements, remain the property of Morningstar Group and its licensors. You retain ownership of the data and content you submit to the Service (“Customer Data”) and grant us a limited licence to host, process, and transmit it solely to provide and support the Service.
6. Payments, subscriptions, and taxes
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer-service inquiries and handles returns. Pricing, billing frequency, renewals, cancellations, currency, applicable taxes, and refunds are governed by Paddle’s Buyer Terms, which form part of your purchase. Subscriptions renew automatically at the end of each billing period unless cancelled in accordance with those terms. Implementation build fees, where applicable, are agreed in writing with your account before any charge.
7. Suspension and termination
We may suspend or terminate your access to the Service, in whole or in part, if: (a) you materially breach these Terms; (b) any fee remains unpaid after notice; (c) we reasonably believe your use poses a security, legal, or fraud risk; or (d) you repeatedly or seriously violate our acceptable-use rules. You may stop using the Service at any time. On termination, your right to use the Service ends. We will make Customer Data available for export for a reasonable period and then delete or anonymise it, except where retention is required by law.
8. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service. Our aggregate liability under or in connection with these Terms will not exceed the fees you paid to Paddle for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.
9. Indemnity
You will defend and indemnify Morningstar Group against third-party claims arising from your Customer Data, your unlawful use of the Service, or your breach of these Terms.
10. Changes to the Service or Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws applicable at Morningstar Group’s principal place of business, without regard to its conflict-of-laws rules. The courts located there will have exclusive jurisdiction over any dispute, unless otherwise required by mandatory local law.
